Special Business Terms

 

1. Special Terms for Business Travel

Spiritus organizes business travel according to the individual requirements of the client. Services may include flight arrangements, accommodation, transportation solutions, travel coordination, itinerary proposals, and other services related to the client’s business travel needs.

All offers are prepared individually and are valid exclusively for the period and conditions specified in the offer. Availability and prices of flights, accommodation, transportation, and other services may change until final booking confirmation.

Spiritus exercises the highest level of care in organizing business travel with the aim of ensuring functionality, reliability, and efficiency. However, Spiritus shall not be liable for changes, delays, cancellations, or other circumstances caused by third-party service providers (such as airlines, hotels, transportation companies, or other partners).

Offers remain valid for the period specified in the offer. If no validity period is stated, offers shall be deemed valid for 48 hours from the date of issue, unless otherwise agreed.

Spiritus shall not be liable for indirect damages, loss of profit, or business losses resulting from circumstances beyond its control or from the actions of third-party service providers.

The client is responsible for providing accurate information required for travel arrangements in a timely manner and for possessing valid travel documents and any other requirements necessary for travel.

2. Special Terms for Tailor-Made Travel (Individual Travel)

Spiritus creates individually tailored travel experiences according to the wishes, interests, and needs of the client. Services may include itinerary proposals, accommodation recommendations, restaurant suggestions, activity recommendations, transportation solutions, and other personalized travel recommendations.

Each trip is planned individually, and Spiritus strives to suggest carefully selected and authentic experiences aligned with the client’s preferences.

All recommendations and suggestions are based on information available at the time of travel planning. Availability of accommodation, activities, restaurants, transportation services, and other travel-related services may change, and Spiritus cannot guarantee their continued availability or unchanged conditions.

Where individual organization or the creation of a personalized travel plan has been agreed, Spiritus reserves the right to charge an organizational fee or travel planning fee, of which the client will be informed in advance.

By confirming the offer, the client acknowledges the individual nature of the services provided and understands that recommendations and itineraries represent personalized proposals adapted to their interests and preferences.

3. Special Terms for the Spiritus Private Travel Club

The Spiritus Private Travel Club is based on a monthly membership that provides members with access to carefully selected travel suggestions, recommendations, and inspiration for authentic experiences in Croatia.

As part of the membership, members may receive personalized or themed travel plans, recommendations for unique locations, restaurants, activities, local experiences, and practical travel advice, in accordance with the selected membership plan.

Membership content is delivered digitally (for example via e-mail) and is intended exclusively for the personal and non-commercial use of the member. Forwarding, sharing, or commercial use of the content without prior written approval from Spiritus is not permitted.

Membership is charged on a monthly basis and may be cancelled at any time. Cancellation applies to the next billing period, and payments already made are non-refundable for the current membership period.

Spiritus reserves the right to adapt membership content, recommendations, or the method of service delivery in order to ensure quality and relevance for members.

Spiritus strives to provide accurate and up-to-date information; however, it cannot guarantee the availability or unchanged conditions of recommended locations, restaurants, events, or other content.

4. Special Cancellation and Modification Terms

The client may request modifications or cancellation of agreed services at any time. Any costs related to modifications or cancellations depend on the terms and conditions of the respective service providers (such as airlines, hotels, transport providers, or other partners).

Spiritus shall not be liable for costs resulting from modification or cancellation policies imposed by third-party service providers and cannot guarantee refunds where such refunds are not provided under the respective provider’s policies.

If Spiritus has already performed organizational, administrative, or advisory services related to travel planning, Spiritus reserves the right to charge proportionate costs for work already completed, of which the client will be informed in advance.

In the event of force majeure, unforeseen circumstances, or events beyond the control of Spiritus (such as adverse weather conditions, strikes, political circumstances, health restrictions, or transportation disruptions), Spiritus assumes no responsibility for possible travel modifications, delays, or cancellations.

5. Special Payment Terms

Prices for Spiritus services are determined individually and provided to the client through an offer, proforma invoice, or invoice prior to confirmation of the service, unless otherwise agreed.

Payment shall be made according to the conditions and deadlines specified in the offer, invoice, or a separate agreement with the client. Spiritus reserves the right to commence organization or confirmation of individual services only upon receipt of the agreed payment, where this has been defined in advance.

Costs relating to third-party service providers (such as flights, accommodation, transportation, insurance, or other activities) may be subject to specific payment and cancellation conditions imposed by the respective providers.

In the event of delayed payment, Spiritus reserves the right to temporarily suspend further organization or execution of services until all outstanding obligations have been settled.

Unless otherwise stated, all prices are expressed in euros (€). In accordance with §19 UStG (German small business VAT regulation), VAT is neither charged nor shown separately.

For specific reservations and individually organized travel, Spiritus DMC may apply additional Reservation and Payment Terms, which are provided to the client together with the offer and, upon acceptance of the offer, become an integral part of the contractual relationship.

6. Final Provisions for Special Service Terms

These Special Service Terms shall be governed by the laws of the Federal Republic of Germany.

Should any provision of these Special Service Terms become wholly or partially invalid, the validity of the remaining provisions shall remain unaffected.

Spiritus reserves the right to amend these Special Service Terms at any time, particularly for compliance with legal requirements, business changes, or adjustments to services. The valid version is always available on this website.

By using Spiritus services, confirming an offer, or entering into a membership agreement, the client confirms that they have read, understood, and accepted these Special Service Terms.
